1. Definitions
In these terms, the following words have the following meaning:
- Taply: Taply B.V., established in Roermond, the Netherlands.
- Service: the Taply platform, including the web application, dashboard and accompanying NFC hardware.
- User: the business party that has entered into an agreement with Taply.
- Device / Tile: the NFC device supplied by Taply that is placed at the till.
- Subscription: the ongoing agreement to use the Service, in the Starter or Professional variant.
- End customer: the User's customer who receives a digital receipt.
2. Applicability and acceptance
These terms apply to all agreements between Taply and the User. By creating an account, taking out a subscription or using the Service, the User accepts these terms. Deviating terms of the User are expressly rejected.
3. Account and registration
Taply is intended exclusively for business use. Upon registration the User declares that:
- They are 18 years or older and authorised to act on behalf of the organisation.
- The organisation is registered with the Dutch Chamber of Commerce (or the Belgian equivalent).
- The information provided is accurate and complete.
The User is responsible for keeping login credentials confidential and for all activity that takes place under their account.
4. Subscription plans
Taply currently offers two subscription plans:
- Starter — € 24.95 per month, excluding VAT.
- Professional — € 29.95 per month, excluding VAT.
A current description of the features included in each plan is available at taplyreceipts.nl/en/pricing. Every subscription includes one free Taply tile. Additional tiles are available at an extra charge.
5. Trial period and payment
Every subscription starts with a free 30-day trial. The trial does not renew automatically and does not automatically convert into a paid subscription: if the User does nothing after 30 days, the trial simply ends and nothing is charged.
If the User chooses to continue after the trial, the subscription is invoiced monthly in advance via Stripe (direct debit or credit card). Payment only starts the moment the User actively chooses a paid plan.
In case of late payment the User is in default without notice of default being required. Taply is entitled to suspend the Service until payment has been made, and may charge statutory interest as well as reasonable collection costs.
6. Hardware
The Taply tile remains the property of Taply for the duration of the subscription and is provided on loan. Upon termination of the subscription:
- The User returns the tile within 30 days of cancellation, in reasonably used condition, using the return label provided by Taply.
- For cancellation within 12 months of the subscription start, a hardware fee of € 99 per tile applies.
- In case of loss or intentional damage, Taply charges € 69.95 per tile.
- For defects arising from normal use, Taply replaces the tile free of charge within 5 business days.
7. Use of the Service
The User shall use the Service exclusively for its intended purpose. The following is not permitted:
- Sending unsolicited advertising or spam via the email features.
- Artificially generating, buying or otherwise manipulating Google reviews.
- Reverse-engineering, decompiling or imitating the Service.
- Using the Service for illegal purposes or in violation of applicable laws and regulations.
Fair use applies to normal use of the Service: in case of excessive use that endangers the service for other customers, Taply may get in touch to agree on appropriate arrangements.
8. Availability
Taply strives for maximum availability of the Service. For uptime guarantees and planned maintenance windows, see the Service Level Agreement.
9. Intellectual property
All rights to the Service — software, design, documentation, brand name and logo — rest with Taply or its licensors. The User receives a non-exclusive, non-transferable right of use for the duration of the subscription.
10. Customer data
The data the User and their End customers generate through the Service — receipts, email addresses, reviews — remain the property of the User. Taply processes this data exclusively on the User's behalf, as a processor within the meaning of the GDPR. For the details see the Privacy policy.
11. Liability
Taply's liability is limited to direct damage and is capped in total at an amount equal to twelve (12) months of subscription fees at the time of the event causing the damage. Liability for indirect damage — including lost profit, missed savings, reputational damage and consequential damage — is excluded to the extent permitted by law.
This limitation does not apply in case of intent or deliberate recklessness on Taply's part.
12. Termination
The subscription can be cancelled monthly via the dashboard or by email to info@taplyreceipts.com. After cancellation the Service remains available until the end of the current billing period. The User returns the hardware within 30 days of the end of the subscription, in accordance with article 6.
Taply may itself terminate or suspend the subscription in case of serious breach of these terms, after written notice of default.
13. Changes to the terms
Taply may amend these terms. Material changes are announced by email at least 30 days before they take effect. If the User does not agree, they may cancel the subscription free of charge before the change takes effect.
14. Governing law and disputes
This agreement is governed exclusively by Dutch law. Disputes are submitted to the competent court of the District Court of Limburg, Roermond location, unless mandatory law designates another court.
15. Force majeure and other provisions
Neither party is required to fulfil any obligation when prevented from doing so by force majeure — including failure of third-party infrastructure, cyberattacks, natural disasters or government measures.
If one or more provisions of these terms prove to be void or voidable, the remainder remains in full force. In that case the parties replace the affected provision with one that approximates the original intent as closely as possible.
